Acceptance of Terms

By accessing or using the services provided by RSS TECH CONSULTING LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

RSS TECH CONSULTING LLC provides software development, IT consulting, system architecture, cloud enablement, application modernization, and related technology services. The specific scope, deliverables, and terms of any engagement will be defined in a separate Statement of Work (SOW) or service agreement between you and the Company.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for us to deliver services
• Respond to requests for feedback, approvals, and decisions in a timely manner
• Ensure that any materials you provide do not infringe on third-party rights
• Make payments in accordance with the agreed-upon schedule

Intellectual Property

Unless otherwise specified in a written agreement:

• Client Materials: You retain ownership of all materials, data, and content you provide to us.
• Deliverables: Upon full payment, you will own the custom work product created specifically for your project.
• Pre-existing Materials: We retain ownership of any pre-existing tools, frameworks, or methodologies used in delivering services.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of any service agreement and applies to business strategies, technical specifications, trade secrets, and any information marked as confidential.

Payment Terms

Payment terms, rates, and schedules will be specified in individual service agreements or Statements of Work. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may be subject to interest charges and may result in suspension of services.

Limitation of Liability

To the maximum extent permitted by law, RSS TECH CONSULTING LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services. Our total liability shall not exceed the fees paid by you for the specific services giving rise to the claim.

Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. Any specific warranties will be outlined in individual service agreements.

Termination

Either party may terminate a service engagement in accordance with the terms specified in the applicable service agreement. Upon termination, you will pay for all services rendered up to the termination date. Provisions relating to confidentiality, intellectual property, and limitation of liability shall survive termination.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Pinellas County, Florida.

Modifications

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after any modifications indicates your acceptance of the updated terms.
